Terms of Service

1. Acceptance of Terms

By accessing or using the OpenAlice Labs platform and API services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms apply to all users, including API consumers, developers, and account holders.

2. Account Responsibilities

When you create an account, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and API keys
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must not share API keys or allow others to access your account without proper authorization. Compromised API keys should be revoked immediately via the dashboard.

3. API Usage and Rate Limits

API usage is subject to the limits of your subscription plan:

Exceeding your plan's API call limit will result in HTTP 429 responses until the next billing period. You can upgrade your plan at any time.

4. Prohibited Uses

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, store, or process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to other users' accounts or our infrastructure
• Reverse engineer, decompile, or disassemble the Services
• Use the API to build a competing product or service
• Resell API access without prior written agreement
• Circumvent rate limits or quota restrictions through any means
• Submit malicious inputs designed to exploit, attack, or corrupt the ML models
• Use automated systems to scrape, overload, or degrade the Services

5. Intellectual Property

The Services, including all software, APIs, documentation, and branding, are the intellectual property of OpenAlice Labs. Your use of the Services does not grant you any ownership rights.

You retain ownership of any data you submit through the API. We do not claim rights to your input data or use it for purposes other than providing the Services.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Services are provided "as is" and "as available." We may perform maintenance, updates, or modifications that temporarily affect availability.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with reasonable notice.

7. Limitation of Liability

To the maximum extent permitted by applicable law, OpenAlice Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from or relating to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. Upon termination:

• Your API keys will be revoked
• Your data will be handled in accordance with our Privacy Policy
• Any outstanding payment obligations remain in effect

You may terminate your account at any time by contacting us at contact@openalice.io.

9. Indemnification

You agree to indemnify and hold harmless OpenAlice Labs, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Germany.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect.

Continued use of the Services after changes constitutes acceptance of the updated Terms.
